Meta launches $35B stock offering to back its AI infrastructure
Why it matters
Meta launched about $35 billion of new stock offerings on 26 October 2026 to support its AI infrastructure push, per its press release filed with the SEC: about $22.5 billion of Class A common stock (via forward sale agreements) plus about $12.5 billion of depositary shares representing mandatory convertible preferred stock. NVIDIA, AMD and Broadcom indicated a non-binding interest in buying up to $5.0 billion of the common stock in aggregate. Meta expects $135-145 billion of capital expenditures in 2026, is building four superclusters of more than one gigawatt each, and says it is on track to nearly double total infrastructure capacity in 2026. A separate at-the-market program of up to $60 billion of Class C stock is planned, not expected to start before Q1 2027; there is no agreement yet. Meta says proceeds are for general corporate purposes and describes equity as a complementary source next to operating cash flow ($97 billion in the first three quarters of 2026) and investment-grade debt. Not investment advice.
